Andrew Hazen is an attorney in Hall Booth Smith, P.C.'s Atlanta office and focuses his practice in the areas of Agriculture/Food & Beverage, Business and General Liability Litigation, and Real Estate. Andrew assists large and small agribusinesses and food/beverage clients with corporate and regulatory matters, including entity formation, asset purchases, licensing, leasing, real estate, and state and federal regulatory compliance, as well as business litigation and claims arising under the Perishable Agricultural Commodities Act. In addition, he represents clients in the agriculture, food & beverage, construction, commercial real estate, and healthcare industries in business litigation, general liability, and corporate matters. He is admitted to practice in all Georgia State and Superior Courts, the Georgia Court of Appeals, the Georgia Supreme Court, and the U.S. District Courts for the Northern, Middle, and Southern Districts of Georgia.
Andrew received his Juris Doctor from Georgia State University College of Law, where he graduated cum laude and with highest pro bono distinction. He served on the Georgia State University Law Review and was awarded CALI Excellence for the Future Awards in his Research, Writing and Advocacy, Contracts, Litigation, and Security Interests and Liens courses. Prior to law school, Andrew received his Bachelor of Arts in Religion from Davidson College and attended Emory University’s Candler School of Theology for Graduate Studies in Theological Ethics.
Andrew advises farmers, packers, processors, distributors, farm suppliers, transportation companies, brokers, and other businesses in the agriculture industry on and assists with entity formation, asset purchases, leasing, real estate, food labeling, organic certifications, food safety, and state and federal licensing and regulatory compliance. Andrew has experience with the various federal and state statutes and regulations governing the production and distribution of food products, including the Food Safety Modernization Act and the Food, Drug and Cosmetic Act and regularly works on behalf of clients with the FDA, USDA and Georgia Department of Agriculture. In addition, Andrew defends agribusiness clients in tort and business litigation matters, including personal injury, contract disputes, and collection litigation, as well as suits brought under the Perishable Agricultural Commodities Act ("PACA").
Andrew represents clients in the agriculture, food/beverage, restaurant, construction, real estate, and healthcare industries in business and collections litigation. He routinely advises businesses on disputes involving customers, employees, and vendors.
Andrew defends contractors, subcontractors, developers, insurance companies, and other businesses in construction defect, premises liability, personal injury, and public and private utility litigation in both state and federal courts.
Andrew represents businesses in the Agriculture, Construction, and Commercial Real Estate industries in tort and premises liability litigation. In addition, he has successfully handled appeals in both the Georgia Court of Appeals and the Georgia Supreme Court.
Andrew routinely advises commercial real estate businesses and investors on land acquisitions, permitting, easements, leases and regulatory compliance. He also regularly drafts leases and operator agreements for commercial and agricultural properties and defends clients in real estate related litigation matters.
Andrew regularly assists clients with acquisitions, divestitures, and corporate restructuring, including due diligence, negotiations, corporate formation, the negotiation of ancillary contracts (non-disclosure agreements, employment agreements, non-competition and non-solicitation agreements, etc.), permitting, and licensing. In particular, Andrew has assisted with large asset purchases from the initial negotiations through closing, as well as corporate reorganizations involving the consolidation of entities and existing operations.
